Service Agreement — Real Estate Agent

Important: By subscribing to GetListingFlow, you agree to be bound by these Terms of Service in their entirety. Please read this agreement carefully before proceeding. If you do not agree with any provision, do not subscribe to the service.

Parties and Definitions

This agreement is made between GetListingFlow (ABN: 76 484 784 411), a business operated by Quentin, Brisbane, Queensland, Australia ("GetListingFlow", "we", "us", "our") and the subscribing real estate agent or agency ("Agent", "you", "your").

In this agreement, the following definitions apply:

  • Service means the GetListingFlow automated response, lead qualification, and pipeline management system described in these Terms.
  • Contracted Suburb(s) means the suburb(s) nominated by the Agent at onboarding and confirmed in writing by GetListingFlow, for which the Agent holds exclusive access rights.
  • Lead means a person who submits a property enquiry via realestate.com.au, Domain, or other connected portal, which is processed by the Service on the Agent's behalf.
  • CRM means the Agent's customer relationship management software (e.g. Eagle Software, Rex, Agentbox, Console Cloud, PropertyMe).
  • Onboarding means the setup process during which GetListingFlow configures the Service for the Agent's specific suburbs, CRM, and communication channels.
  • Subscription Period means each calendar month for which the Agent's subscription is active.

The Service

GetListingFlow provides a done-for-you automated response and lead management system for Australian real estate agents. The Service operates across five layers:

Layer 01 — Always On Response

The Service responds to every buyer enquiry received via the Agent's CRM within 60 seconds, 24 hours a day, 7 days a week. Responses are generated on the Agent's behalf using an automated system trained to match the Agent's communication style.

Layer 02 — Intelligent Lead Qualification

The Service engages with leads to gather information including budget range, buying timeline, current living situation, and suburb preference. Each lead is assigned a qualification score before being presented to the Agent.

Layer 03 — Automatic Calendar Booking

Qualified leads are guided to book directly into the Agent's calendar for inspections, discovery calls, or appraisal consultations, subject to the Agent's calendar being connected and available.

Layer 04 — Market Intelligence

The Service generates monthly suburb-specific market reports tailored to the Agent's contracted suburbs and the buying interests of their active leads.

Layer 05 — Vendor Intent Detection and Long-Term Nurture

The Service monitors conversations for signals that a buyer may also be a potential property vendor. Identified prospects are enrolled in a structured long-term nurture sequence for up to 12 months.

GetListingFlow responds on the Agent's behalf. The Agent remains at all times the licensed real estate professional responsible for client relationships, representations, and transactions. GetListingFlow does not provide real estate advice, valuations, or legal representations of any kind.

Suburb Exclusivity

GetListingFlow operates on a strict one agency per suburb model. Each Contracted Suburb is allocated to one Agent exclusively and permanently for the duration of their active subscription.

Exclusivity terms

  • GetListingFlow will not sell or provide access to the Service for the same Contracted Suburb to any other agent or agency while the Agent's subscription is active.
  • Exclusivity is locked in at the commencement of the first paid Subscription Period.
  • If the Agent cancels their subscription, exclusivity over the Contracted Suburb(s) is forfeited immediately upon cancellation taking effect. The suburb(s) will then be made available to other agents.
  • Exclusivity applies to the specific suburb as defined at onboarding. Adjacent or neighbouring suburbs are not included unless separately contracted.

Adding new suburbs

An Agent who is already onboarded may add additional suburbs at any time. There is no additional setup fee for existing clients adding new suburbs. The monthly subscription price for each additional suburb will be confirmed prior to activation.

Suburb availability is confirmed at the time of your free consultation call. If your suburb becomes unavailable between enquiry and signing, GetListingFlow will notify you immediately and offer alternatives.

Fees, Billing and Payment

Billing cycle

The setup fee is invoiced upon signing this agreement. The first monthly subscription fee is invoiced on the date the Service goes live. Subsequent monthly fees are invoiced on the same date each month. All invoices are payable within 7 days of the invoice date.

Payment methods

Payment is accepted via bank transfer or credit card as confirmed at onboarding. All prices are in Australian dollars (AUD) and are inclusive of any applicable GST unless otherwise stated.

Late payment

If a monthly subscription payment is not received within 14 days of the due date, GetListingFlow reserves the right to suspend the Service until payment is received. If payment is not received within 30 days, GetListingFlow may terminate the agreement and the suburb exclusivity is forfeited.

30-Day Money-Back Guarantee

GetListingFlow offers a 30-day money-back guarantee on the monthly subscription fee (excluding the setup fee) on the following terms:

Guarantee conditions

  • If GetListingFlow does not generate at least one new qualified lead conversation within the first 30 days of the Service going live, the Agent is entitled to a full refund of the first monthly subscription fee.
  • A "qualified lead conversation" means a conversation initiated by the Service where a lead has responded with substantive information about their buying intentions.
  • To claim the guarantee, the Agent must notify GetListingFlow in writing at quentin@getlistingflow.com.au within 7 days of the expiry of the 30-day period.
  • The setup fee is non-refundable under the guarantee.

Conditions that void the guarantee

  • The Agent's CRM was not correctly configured or not connected within 5 business days of the onboarding call.
  • The Agent's calendar was blocked for the full 30-day period, preventing any bookings.
  • The Agent received no enquiries on their contracted suburb(s) during the 30-day period.
  • The Agent provided incorrect or incomplete information during onboarding that materially affected the Service.

After the initial 30-day period, the subscription is month-to-month with no lock-in. The Agent may cancel at any time with 30 days written notice. No refunds are provided for partial subscription months after the guarantee period.

Cancellation and Termination

Cancellation by the Agent

The Agent may cancel their subscription at any time by providing 30 days written notice to quentin@getlistingflow.com.au. The Service continues for the notice period, after which it is deactivated. No refund is provided for the notice period.

Immediate termination by GetListingFlow

GetListingFlow may terminate immediately, without notice or refund, if:

  • The Agent provides false or misleading information at onboarding or at any time during the subscription.
  • The Agent uses the Service for any unlawful purpose or in a manner that violates the Privacy Act 1988, the Spam Act 2003, or real estate licensing regulations.
  • The Agent instructs GetListingFlow to make false or misleading representations to leads.
  • The Agent's real estate licence is suspended, cancelled, or expired.
  • The Agent fails to pay any outstanding invoice within 30 days of the due date.

Effect of termination

Upon termination: the Service is deactivated; suburb exclusivity is forfeited; the Agent may request an export of their lead data within 30 days; after 30 days, lead personal identifiers are de-identified per the Privacy Policy.

Agent Obligations

Licence and compliance

  • Maintain a current and valid real estate agent's licence for all jurisdictions in which the Service operates on their behalf.
  • Comply with all applicable laws, including the Privacy Act 1988, the Spam Act 2003, the Australian Consumer Law, and relevant state real estate licensing legislation.

CRM and system access

  • Provide accurate CRM credentials and authorise GetListingFlow to access their CRM system for the purpose of receiving leads, reading contact history, and writing notes.
  • Notify GetListingFlow promptly if CRM credentials change or access is revoked.
  • Ensure their calendar is connected and kept up to date.

Lead communications

  • Acknowledge that leads who enquire via their property listings have provided inferred consent to receive follow-up communications related to their enquiry, consistent with the Spam Act 2003.
  • Not instruct GetListingFlow to contact leads for purposes unrelated to their property enquiry without obtaining express consent from those leads.
  • Respect all opt-out requests and not attempt to re-contact opted-out leads.

Oversight and responsibility

  • Review their pipeline and lead conversations on a regular basis (at minimum, weekly).
  • Accept full responsibility for all client relationships, representations, and transactions arising from leads generated by the Service.

Artificial Intelligence and Automated Responses

The Agent acknowledges and accepts the following:

  • Responses to leads are generated by an automated AI system on the Agent's behalf. The Agent has approved the general approach and tone through the onboarding process.
  • While GetListingFlow takes reasonable steps to ensure responses are accurate and consistent with the Agent's style, automated systems can produce unexpected outputs. The Agent accepts this inherent risk.
  • The Service will never make price representations, legal guarantees, or contractual commitments on the Agent's behalf. Conversations that escalate to these topics will be flagged for the Agent's direct attention.
  • The Agent agrees that leads are communicating with an automated system acting on the Agent's behalf, and that the Agent has authorised this arrangement in compliance with applicable transparency requirements.

The Agent must not represent to any third party that they personally responded to all enquiries in real time if such a representation would be misleading. GetListingFlow is a tool used by the Agent, not a substitute for honest client communication.

Limitation of Liability

Excluded losses

GetListingFlow will not be liable for: loss of revenue or commissions; loss of opportunity or anticipated profit; loss of leads or pipeline; damage to reputation; or any indirect, special, or consequential loss of any kind.

Maximum liability cap

GetListingFlow's total liability for any claim is limited to the total monthly subscription fees paid by the Agent in the three months immediately preceding the event giving rise to the claim.

No guarantee of results

GetListingFlow does not guarantee any specific number of leads, appraisals, listings, or commissions. ROI projections in marketing materials are estimates based on industry data and are not contractual commitments.

Consumer Law

Nothing in this agreement excludes any right or remedy the Agent may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot lawfully be excluded.

Intellectual Property

GetListingFlow retains all intellectual property rights in the Service, including the software, algorithms, AI models, prompt systems, automation logic, and dashboards.

The Agent is granted a non-exclusive, non-transferable licence to use the Service during the Subscription Period solely for their own real estate business in the Contracted Suburb(s). This licence does not permit sublicensing, resale, reverse-engineering, or use for any third party's benefit.

Lead data and conversation histories generated through the Service belong to the Agent in relation to their own leads. GetListingFlow may use anonymised, aggregated, non-identifiable data from all agents to improve the Service.

Confidentiality

Each party agrees to keep confidential any non-public information received from the other party, including pricing details, system architecture, business strategies, and client data.

The Agent must not disclose any proprietary information about the GetListingFlow system (including pricing, processes, or technology) to competitors or third parties without GetListingFlow's written consent.

Confidentiality obligations survive termination of this agreement for a period of two years.

Dispute Resolution

In the event of a dispute:

  • Step 1 — Direct negotiation: The party raising the dispute must notify the other in writing. The parties must attempt to resolve the dispute by direct negotiation within 14 days.
  • Step 2 — Mediation: If unresolved, either party may refer the matter to mediation by a mediator agreed between the parties, or if no agreement is reached within 7 days, a mediator appointed by the Queensland Law Society.
  • Step 3 — Litigation: If mediation fails, either party may commence legal proceedings in the courts of Queensland, Australia.

This agreement is governed by the laws of Queensland, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of Queensland.

General

  • Entire agreement: This agreement, together with Schedule A below, constitutes the entire agreement between the parties and supersedes all prior discussions and representations.
  • Amendments: GetListingFlow may update these Terms from time to time. Agents will be notified of material changes via email at least 14 days before the changes take effect.
  • Waiver: A failure by either party to exercise any right does not constitute a waiver of that right.
  • Severability: If any provision is found to be unenforceable, it is severed and the remaining provisions continue in full force.
  • Assignment: The Agent may not assign this agreement without GetListingFlow's prior written consent.

Schedule A

Data Processing Agreement (DPA)

This Schedule forms part of the Terms of Service and governs how GetListingFlow processes personal information on behalf of the Agent under the Privacy Act 1988 (Cth).

Roles

The Agent is the data controller for all personal information relating to their leads and contacts. GetListingFlow is the data processor, processing that information only on the Agent's instructions and for the purpose of providing the Service.

Processing instructions

GetListingFlow will process lead data only to: respond to enquiries on the Agent's behalf; qualify leads; book appraisals; send follow-up communications; and generate market reports.

Data isolation

Lead data is strictly isolated between agents at the database level. GetListingFlow will not share one Agent's lead data with any other agent or third party.

Sub-processors

GetListingFlow uses the following approved sub-processors: Anthropic (AI response generation, USA); OpenAI (anonymised text embeddings, USA); Twilio (SMS delivery, USA); Resend (email delivery, USA). All are engaged under data processing agreements consistent with APP 8.

Security measures

GetListingFlow implements AES-256 encryption at rest, TLS in transit, Fernet encryption for credentials, Row Level Security at the database level, and strict access controls.

Data breach notification

GetListingFlow will notify the Agent within 48 hours upon becoming aware of a data breach affecting the Agent's lead data, describing the nature of the breach, the data affected, and measures taken.

Data retention and return

Upon termination, the Agent may request an export of their lead data within 30 days. After 30 days, personal identifiers are de-identified per the Privacy Policy.

Agent obligations as data controller

The Agent warrants that: they have a lawful basis for sharing lead data with GetListingFlow; leads have received appropriate collection notices; and the Agent will promptly notify GetListingFlow of any opt-out requests received directly.
